Terms of Service

These Terms of Service (the “Terms”) constitute the agreement between 就位科技 LLC (Jiuwei Tech LLC,美國 Wyoming 州, the “Company”) and the user (the “user” or “you”) of the “Jiuwei” service (the “Service” or the “Platform”) governing the use of the Service. Before registering, logging in or using the Service in any manner, the user should read these Terms carefully; by using the Service, the user is deemed to have understood and agreed to comply with the entirety of these Terms. If the user does not agree with all or part of these Terms, the user should immediately cease using the Service.

1. Definitions

  • “Service”: the AI operations platform provided by the Company and all of its related features, application programming interfaces (APIs) and back-office systems.
  • “user”: a business or individual that registers an account and uses the Service, including its authorized employees or agents.
  • “Customer”: an end consumer of the user, whose personal data is processed by the Service as a result of the user’s use of the Service.
  • “user data”: the business data generated or provided by the user and its Customers in the course of using the Service, including Customer, appointment and staff data.

2. Description of the Service

The Service is a multi-industry appointment management platform that uses LINE as its core service channel and provides online appointment management, LINE Bot integration, AI customer service, customer relationship management (CRM), social customer service (Facebook / Instagram / Threads), staff scheduling and automatic re-engagement, among other features. The Company may, within a reasonable scope and as required by technical, operational or legal needs, add to, modify or discontinue all or part of the features of the Service.

3. Accounts and Eligibility

  • The user must be a natural person of at least 18 years of age with full legal capacity, or a legal entity or other organization duly established and existing under the law.
  • Each email address may be used to register only one account.
  • The user must provide accurate and complete registration information, and update it promptly when it changes.
  • The user must safeguard its account and login credentials, and must not provide, transfer or authorize others to use the account; the user bears sole responsibility for any liability arising from improper safekeeping of account credentials.
  • The user must not use the Service to engage in any act that violates the law or these Terms.

4. Subscription Plans and Billing

  • The Service is offered on a subscription basis. The features and usage limits of each subscription plan are governed by the settings in the Company’s subscription database and are not hard-coded in the software.
  • Subscription fees are processed through payment service providers such as Stripe and, depending on the selected plan, are billed automatically on a recurring basis at the end of each billing cycle.
  • The user may cancel auto-renewal at any time in the back-office; refunds following cancellation are handled in accordance with the Company’s refund policy and applicable law, and the user may contact us by email to inquire.
  • The Company may adjust plan content or fees as required by operational needs, giving notice by appropriate means a reasonable period in advance; adjusted fees apply from the next billing cycle.

5. Rules for Use of the AI Features

  • The Service’s AI customer-service feature is labeled “AI customer service” and consists of automatically generated replies, not responses from a human agent.
  • When the Service detects a crisis signal, the matter is handed over to a human, and no AI credits are deducted for that instance.
  • The user must not use the AI features to generate any unlawful, discriminatory, rights-infringing or harmful content.
  • The consumption of AI credits is determined by the Company’s system calculations.
  • AI-generated content may contain errors or be incomplete; the user should exercise its own judgment before use, and the Company does not warrant its accuracy, completeness or fitness for a particular purpose.

6. Data Ownership and License

  • Rights to user data (including Customer, appointment and staff data) belong to the user.
  • For the purpose of providing the Service, the user authorizes the Company to collect, process, use and store user data within the necessary scope; the manner in which the Company collects, processes and uses personal data is further governed by the Company’s Privacy Policy.
  • The user may export its user data at any time.
  • After termination of the Service, the Company will retain user data for 30 days for the user to export, after which it will be deleted or de-identified in accordance with the Privacy Policy and the law.
  • The user must obtain a lawful basis for the collection, processing and use of the Customer personal data it uploads or processes, and is solely responsible for the lawfulness of such content.

7. Service Availability

The Company targets a service availability of 99.5% and will give notice by appropriate means before routine maintenance. However, where the Service is temporarily unavailable due to force majeure, third-party service outages, network or telecommunications failures, or other causes not attributable to the Company, the Company shall not be liable for damages.

8. User Obligations and Prohibited Conduct

When using the Service, the user must not engage in the following conduct:

  • Accessing, interfering with or damaging the data or systems of other tenants without authorization.
  • Maliciously scraping, reverse-engineering or sending excessive requests to the Service by automated programs or other means.
  • Distributing malware, launching network attacks, or otherwise jeopardizing the information security of the Service.
  • Forging signatures, or circumventing or breaking the security mechanisms or usage limits of the Service.
  • Infringing the intellectual property rights or other rights of the Company or any third party.
  • Any other conduct that violates the law, public order, good morals or these Terms.

9. Intellectual Property

The intellectual property rights in the Service and its related software, interfaces, trademarks, logos and content belong to the Company or its rights holders. Except as expressly licensed under these Terms, the user must not reproduce, distribute, adapt or otherwise use them in any manner.

10. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential or punitive damages arising from the user’s use of or inability to use the Service. The Company’s total liability in respect of the Service is limited to the subscription fees actually paid by the user to the Company in the three months preceding the event giving rise to the claim.

11. Termination

The user may cancel its subscription or request termination of the Service at any time. If the user breaches these Terms, the Company may, depending on the circumstances, suspend or terminate all or part of the functionality of the user’s account after notice; in serious cases, the Company may terminate directly without prior notice. The provisions of these Terms concerning data ownership, limitation of liability, intellectual property and governing law survive termination of the Service.

12. Amendments to the Terms

The Company may amend these Terms in response to changes in law or adjustments to the Service, and will announce or give notice by appropriate means before the amendment takes effect. A user who continues to use the Service after the amendment takes effect is deemed to have agreed to the amended Terms.

13. Governing Law and Jurisdiction

The interpretation and application of these Terms are governed by the laws of the Republic of China (Taiwan). For any dispute arising from these Terms or the Service, unless otherwise mandatorily provided by law, the parties agree to submit to the Taiwan Taipei District Court as the court of first instance.
